1. ABOUT TEMPLE BROWN
  Temple Brown is a UK-based creative agency offering web design, branding, logo design, graphic design, social media content creation, search engine optimisation (SEO), website hosting, photography, and strategic consultancy services. Our service tiers include project-based work, retainer agreements, and ongoing managed hosting packages. Our unique discovery process ensures all outputs align with client goals through a blend of creative vision and data insight.

2. ACCEPTABLE USE AND USER CONDUCT
  We grant you a limited, non-exclusive, non-transferable license to access and use our Service solely for lawful and legitimate purposes.

You agree not to:

* Violate any applicable laws or regulations.
* Infringe upon intellectual property rights.
* Disrupt or interfere with our systems.
* Upload malicious code.
* Engage in unauthorised access, scraping, or data harvesting.
* Misuse contact forms or our communication channels.

You must be 18 years or older to use our services, or have the legal authority to enter into a binding agreement.

3. ACCOUNT REGISTRATION (IF APPLICABLE)
  In cases where you create an account or portal access is provided (e.g., for hosting or project tracking), you are responsible for maintaining its confidentiality. You agree to notify us immediately of any unauthorized access.

4. USER CONTENT AND CLIENT MATERIALS
  You retain ownership of all materials provided to Temple Brown for use in your project ("Client Content"). You grant us a non-exclusive, royalty-free license to use, reproduce, adapt, and display this content solely for the purpose of delivering our services. You represent and warrant that:

* You have the rights and permissions to use and share such content.
* Your content does not infringe on third-party rights.

5. INTELLECTUAL PROPERTY
  All original content created by Temple Brown in the course of a project, including but not limited to design files, code, text, and artwork, remains our intellectual property until full payment is received. Upon full payment, ownership of final deliverables is transferred to you, excluding third-party materials and our proprietary tools and methods. You agree not to reverse-engineer, duplicate, or misuse our designs or strategy documents.

6. HOSTING & WEBSITE MAINTENANCE
  Temple Brown offers website hosting and maintenance services. We will:

* Monitor uptime and basic performance.
* Perform scheduled maintenance.
* Provide support during business hours (unless otherwise specified).

We cannot guarantee uninterrupted uptime and are not liable for outages caused by third-party hosting infrastructure, force majeure, or scheduled downtime.

7. FEES AND PAYMENT TERMS
  Fees are outlined in your service agreement or project proposal. Invoices are due upon receipt unless otherwise agreed. Late payments may incur interest at 2% per month and may result in suspension of services. Hosting and retainers are billed monthly in advance. All prices are in GBP (£) and exclude VAT unless specified.

You authorise us to charge your provided payment method for recurring services, unless you cancel with 30 days' notice.

8. CANCELLATION AND TERMINATION
  You may cancel a service by providing written notice 30 days in advance. For retainers or ongoing hosting, cancellation becomes effective at the end of the current billing cycle. Early termination of a fixed-term agreement may incur fees outlined in your contract.

Temple Brown may suspend or terminate services if you breach these terms or fail to pay fees when due. Upon termination:

* Your access will be revoked.
* You must pay outstanding amounts.
* We may retain work completed prior to full payment.

9. WARRANTIES & DISCLAIMERS
  We provide our services with reasonable care and skill. However, all services are offered "as is" and "as available." We do not guarantee:

* Uninterrupted access to your site.
* Specific search engine rankings.
* Performance metrics or results unless expressly stated.

You acknowledge that branding and marketing outcomes are influenced by numerous external factors beyond our control.

10. LIMITATION OF LIABILITY
   To the fullest extent permitted by law, Temple Brown shall not be liable for indirect, incidental, or consequential damages. Our total liability for claims under these terms is limited to the amount paid by you in the 12 months preceding the claim.

11. CONFIDENTIALITY
   We agree to treat all non-public client data and content as confidential. You agree to treat any proprietary Temple Brown methods, pricing, or strategies as confidential. This obligation survives termination of services.

12. DATA PRIVACY
   We comply with GDPR and other applicable data protection regulations. See our Privacy Policy for full details on how we collect, store, and process personal data. We do not sell your data or use your content to train AI models without your consent.

13. THIRD-PARTY TOOLS & INTEGRATIONS
   If our service includes third-party tools (e.g. analytics platforms, CMS systems, SEO tools), you are subject to the terms of those services. We are not responsible for disruptions caused by changes or failures in third-party services.

14. CHANGES TO THESE TERMS
   Temple Brown may update these Terms periodically. We will notify clients of major changes. Continued use of our services after changes constitutes acceptance.

15. DISPUTES AND GOVERNING LAW
   These Terms are governed by the laws of England and Wales. Disputes will be resolved through good faith negotiation. If resolution is not reached, disputes will be submitted to the exclusive jurisdiction of the courts of England and Wales.

16. FORCE MAJEURE
   We are not liable for delays or failures in performance resulting from acts beyond our control, including natural disasters, government actions, or internet outages.
